These Terms and Conditions govern your access to and use of PROSE, including the PROSE Chrome extension, any related managed credit features, BYOK features, and related support or service interactions connected to PROSE.

In these Terms, “PROSE”, “we”, “us”, and “our” mean the operator identified above.
By accessing, installing, using, or purchasing any feature of PROSE, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use PROSE.
You represent that you are legally capable of entering into a binding agreement under applicable law. If you use PROSE on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.
PROSE is a plain-text writing assistance service provided primarily through a Google Chrome extension. PROSE is designed to help users improve or correct short text using a single core action, “Fix My Text”.
PROSE is intended to work on plain text only. PROSE does not promise formatting preservation, translation, perfect accuracy, uninterrupted availability, or compatibility with every website, browser environment, or input field.
PROSE may offer different usage modes, including:
We may modify, improve, update, suspend, restrict, or discontinue all or part of PROSE at any time, with or without notice, to the fullest extent permitted by applicable law.
This includes changes to features, supported providers, pricing, availability, technical requirements, user interface, functionality, and any beta, test, pilot, or experimental features.
We are not obligated to continue offering any particular feature, integration, or pricing structure.
Our Privacy Policy explains how personal data is handled in connection with PROSE. The Privacy Policy is available at /privacy.
The Privacy Policy is separate from these Terms and does not form part of the service description except where expressly stated.
You are responsible for maintaining the security of your device, browser profile, email account, login credentials, verification codes, API keys, and any other credentials used with PROSE.
You must provide accurate information where required and keep it up to date.
You must not impersonate another person, access another user’s account without authorization, or use PROSE in a way that interferes with the security or integrity of the service.
PROSE generates automated text suggestions. You are solely responsible for reviewing, verifying, editing, and approving any output before using, sending, publishing, filing, submitting, sharing, relying on, or acting on it.
You must independently confirm that any output is accurate, suitable, lawful, non-infringing, and appropriate for your intended purpose.
You remain solely responsible for all content you input into PROSE and for all consequences of using any output generated by PROSE.
PROSE is provided for general writing assistance only.
PROSE does not provide legal, financial, tax, accounting, medical, employment, compliance, regulatory, or other professional advice. Nothing generated by PROSE should be treated as a substitute for professional judgment or advice from a qualified professional.
You must not use PROSE:
We may suspend, limit, or terminate access to PROSE if we reasonably believe you are violating these Terms, creating risk, or misusing the service.
If you use PROSE in BYOK mode:
PROSE may support providers such as OpenAI, Anthropic, and Google, but we do not endorse, guarantee, or assume responsibility for their services.
If you use PROSE in managed mode, you may purchase prepaid PROSE credits.
Unless otherwise required by applicable law:
A credit balance only represents a limited contractual right to use eligible managed features of PROSE, subject to these Terms.
We may, at our sole discretion, grant free, introductory, goodwill, trial, or promotional credits to users.

Nothing in these Terms obligates us to continue any promotional credit program.
Paid managed credits are sold as one-time purchases only. PROSE does not provide subscription billing unless expressly stated otherwise.
You agree to pay all fees, charges, and applicable taxes shown at checkout.
Payments may be processed by third-party payment providers. We are not responsible for errors, outages, or policy decisions of payment processors, except to the extent required by law.
To the fullest extent permitted by law, all purchases are final and non-refundable once completed, except where a refund is required under applicable law.
Where required by applicable law, by purchasing managed credits or activating paid digital functionality intended for immediate use, you expressly request immediate supply or performance of the relevant digital content and/or digital services before the end of any statutory withdrawal or cancellation period.
Where legally applicable, you acknowledge that once such performance has begun in accordance with law, your statutory right of withdrawal or cancellation may be lost or limited.
This clause applies only to the extent permitted by applicable law. Nothing in these Terms removes any consumer rights that cannot legally be waived.
PROSE may interact with third-party services, websites, payment processors, email providers, browsers, AI providers, or platform infrastructure.
We do not control and are not responsible for third-party services, including their availability, security, content, terms, billing, or data handling practices.
Your use of third-party services may be subject to separate terms and privacy policies.
All rights, title, and interest in and to PROSE, including its software, design, branding, trademarks, service marks, logos, text, structure, and underlying technology, are owned by us or our licensors.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use PROSE for its intended purpose.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, sell, license, or exploit PROSE except as expressly permitted by these Terms or applicable law.
PROSE is provided on an “as is” and “as available” basis to the fullest extent permitted by law.
We do not warrant that PROSE will be uninterrupted, error-free, secure, accurate, complete, timely, compatible with all environments, or free from bugs, delays, outages, or harmful components.
We do not warrant that PROSE will meet your needs, expectations, or intended results.
To the fullest extent permitted by applicable law, all statutory, express, implied, and other warranties, conditions, representations, and guarantees are excluded, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, availability, or accuracy.
Without limiting the above, we do not guarantee:
To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, or for any loss of profits, revenue, business, contracts, goodwill, reputation, opportunity, anticipated savings, data, or use, arising out of or related to PROSE, even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with PROSE and these Terms will not exceed the greater of:
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including, where applicable, liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where non-waivable, death or personal injury caused by negligence, or mandatory consumer remedies.
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless us, our affiliates, contractors, service providers, officers, directors, and employees from and against claims, losses, liabilities, damages, costs, and expenses arising out of or related to:

Upon termination, your right to use PROSE ends immediately. Clauses that by their nature should survive termination will survive termination, including provisions on liability, disclaimers, intellectual property, governing law, and dispute resolution.
Nothing in these Terms excludes, restricts, or limits any rights you have under applicable law that cannot legally be excluded, restricted, or waived.
If you are a consumer, you may have mandatory rights under the laws of your country of residence. These Terms apply only to the extent they are consistent with such mandatory rights.
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Czech Republic.
If you are a consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence where such protection cannot be derogated from by agreement.
Unless mandatory law requires otherwise, the courts of the Czech Republic will have jurisdiction over disputes arising out of or in connection with these Terms.
We may update these Terms from time to time.
The updated version becomes effective when published, unless a later effective date is stated.
Your continued use of PROSE after updated Terms become effective constitutes acceptance of the updated Terms.
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and us regarding PROSE, and supersede any prior or contemporaneous understandings relating to PROSE.
